Paralegal - KPMG Law, Corporate Team - Reading

KPMG Law has a specialist corporate and commercial team that advises on a broad range of corporate, partnership and commercial law in conjunction with KPMG's tax and advisory teams.

The team’s broad remit is broken into three key areas:

(i) deals – including mergers and acquisitions, legal due diligence, transaction services and joint ventures;
(ii) structuring – including distributions, company law advice, restructures, capital reductions, demergers and management incentives;
(iii) specialist legal solutions – including general legal advisory solutions.

The team regularly advises on complex cross-border intra-group reorganisation transactions as well as those with a UK-only element.

We are now looking for an additional paralegal to support the Corporate Legal Services team in our Reading office. You will have previous paralegal experience in the area of corporate law.

The role is very varied with no two days the same. You will be required to manage your time well and be able to balance several pieces of work simultaneously, prioritising appropriately to ensure tight deadlines are met. The following is a non-exhaustive list of responsibilities and activities:

• running know your client (KYC) checks;
• drafting engagement letters;
• carrying out company searches and summarising key information in company search reports;
• drafting and managing information requests;
• drafting and amending project management plans (comprising a documents list, timetable and parties list);
• drafting Companies Act 2006 related documentation and other documentation (e.g. including board minutes, share transfer documents, shareholder resolutions etc.);
• drafting and filing of Companies Act 2006 forms, including hand delivering documents to Companies House where necessary;
• designing and delivering training sessions (either alone or with other team members) for the team on set subjects (this is something which each member of the team undertakes in respect of their specialist subject);
• project managing smaller projects including liaising with overseas legal counsel, other advisers and clients;
• co-ordinating the input of overseas legal counsel on transactions;
• assisting with business development activities;
• assisting with the preparation of proposals;
• carrying out legal and other research;
• assisting with know-how projects including summarising know-how and other materials for inclusion in KPMG's knowledge management system;
• assisting with the administration of the training programme; and
• assisting with projects that other team members are working on.
• The role involves working directly with all team members from Assistant Manager to Partner. There is great support in the team, all of whom help with learning and development of other team members through offering advice, providing development points and being open to answer any questions.

Education and qualifications:

The applicant will be an individual with legal experience having worked as part of a corporate and/or commercial legal team. The applicant may possibly have an LPC or similar qualification although this is not essential.

High attention to detail, strong organisational skills, being intellectually curious, and having good teamwork and personal skills are essential.

Experience required:

The role will be varied and you will be required to manage your time well and be able to balance several pieces of work simultaneously, prioritising appropriately to ensure tight deadlines are met.

In addition, a successful applicant will have the ability to get up to speed quickly on technical matters and be keen to continue developing his/her legal skills and engage in new areas of work.

Good relationship building skills and organisation skills are a must along with an ability to communicate effectively with clients, contacts and internal colleagues at all levels as well as excellent written communication skills.
