KPMG Legal Services

KPMG Legal Services Team has over 100 lawyers within the UK, over 900 lawyers within Europe and over 1600 lawyers globally. Within the UK practice, KPMG focuses on:
- Corporate and M&A
- Financial services regulation
- Data protection, IP and IT
- Employment and immigration
- Corporate crime
- Tax litigation
- Global entity management services

Financial services legal team

Within the Financial Services legal practice, the corporate legal team combines with the financial services regulatory legal team to win and deliver work for clients within the sector. Projects typically see KPMG’s lawyers working in single teams involving others from regulatory consulting, corporate finance, deal advisory, management consulting, IT consulting and tax teams.

Recent examples of the team’s work have included:

- Acting for a listed client on its proposed acquisition of a UK bank
- Restructuring of the EU 27 business of a UK bank from a UK-passported hub into a new EU subsidiary, in light of Brexit
- Two transfers of banking businesses under Part VII of FSMA 2000
- Restructuring of a £2bn listed private equity fund into a commercial company and change in listing segment
- The establishment of a Lloyd’s managing agency joint venture
- Advising seven banking, commodities and investment management clients on the impact of Brexit and on subsequent restructurings
- Advising on multiple sell-side disposals of regulated businesses

The financial services team is closely connected with strong financial services legal practices in regulatory and corporate / M&A within KPMG’s international network. Strong connections in particular exist with Germany, Spain and Switzerland, with regular collaboration and travel.

Experience required:

The applicant will be a corporate lawyer with strong experience in advising clients on M&A and restructurings, in particular in the financial services sector. The applicant’s experience may include, for example:

- Acquisitions and disposals of banking or insurance businesses (whether by share sale or business sale)
- Corporate restructurings in the banking or insurance sectors
- Experience of the banking or insurance regulatory framework
- Joint ventures involving listed and/or regulated clients
- Transfers of banking or insurance businesses under Part VII of the Financial Services and Markets Act 2000
- Cross border mergers and SE conversions and migrations would be ideal but not essential
- Experience on ring-fencing or Brexit programmes would be ideal but not essential

Strong international experience is required. The successful applicant will need to fit into an international practice and a global legal services team. Working within a supportive environment, the applicant must be able to demonstrate his/her ability to successfully lead transactions, and to supervise and develop more junior members of the team. Strong project management skills are a must. The successful applicant must also be able to demonstrate sound client relationship and business development skills, and a keenness to develop these skills further.

It is expected that the successful applicant will be a UK-qualified solicitor with a minimum of 6 years’ PQE experience, several years of which should have been gained in the UK at a reputable City firm (but applicants with other suitable experience will also be considered). Strong academic, technical, drafting and personal skills are essential.
