Job Description
There are currently market opportunities to join the SPA team within Transaction Services at Manager level as part of the SPA team’s ambitious growth plans.

Within Transaction Services, the SPA team delivers a wide range of transaction related services to help our clients to identify upside opportunities and risks in their acquisitions, disposals and JVs. Our key services include:
- providing pre-deal negotiation support on the transaction legal documents, i.e. Sale & Purchase Agreement;
- post-completion support for the preparation or review of completion accounts and earn-out accounts;
- tactical advice on commercial negotiation of items in dispute; and
- advising on, or writing, submissions to independent accountants in formal disputes.

Our Transaction Services business is at the heart of the Firm's agenda to increase its penetration of boardrooms and work with clients across the economic and transaction cycle. The team works closely with Tax and Advisory colleagues; it is a multi-disciplinary and international environment.

Roles and Responsibilities:

Management appointments are made on the basis of demonstrated track record. Managers are expected to play a key role in the development of the business:
- Engaging with internal financial due diligence team members and reviewing financial due diligence reports to identify risks and opportunities in buy and sell side transactions with a view to mitigate or capitalise on these through the sales and purchase agreement;
- Reading sale and purchase agreements, with a specific focus on the accounting elements of the agreement and identifying risks, opportunities and recommendations;
- Advising clients orally and in writing in relation to live transactions (price adjustment or deferred consideration mechanisms and accounting warranties/indemnities) and post-completion advice (preparation or review of completion accounts, tactical advice on disputed items and formal, written submissions to an independent accountant);
- Providing vendor assistance to clients including advice on working capital, net debt, and the enterprise to equity bridge;
- Business development: building, commercialising and sustaining relationships with client management team members for the benefit of the Firm as well as acting as an ambassador and role model for the Firm;
- Team work: being instrumental team members of engagements of medium size and complexity as well as structuring and leading work streams on larger size engagements of greater complexity in ambiguous and rapidly changing environments;
- Risk management: identifying and managing risks and ensuring the Firm's frameworks are implemented appropriately and effectively;
- People development: identifying team member development needs and accelerating development by establishing the appropriate plans and frameworks with particular emphasis on coaching and skills transfer;
- Practice development: taking responsibility for several processes and initiatives that are key to scaling the business;
- Personal development: participating in the career and skills development infrastructure provided by the Firm and acting as a role model with colleagues and clients by living the values of the Firm.

Qualifications and skills:
To succeed in this varied and demanding role you will need to demonstrate the following skills and experience:
- Demonstrable experience of the transaction cycle/ transaction services and supporting Mergers & Acquisitions.
- Strong academic background and ACA qualified or equivalent
- Significant post-qualification financial experience in financial due diligence
- Ability to clearly describe the differences between locked box and completion accounts mechanisms, and the benefits and risks associated with both
- Prior experience of working on sale and purchase agreements, constructing comments to communicate with clients and lawyers
- Prior experience of working on completion accounts projects, assisting clients with the preparation or review process
- Ability to clearly explain the completion accounts and dispute process, and of how these impact the final consideration paid
- Ability to describe the benefits and risks associated with deferred consideration, including earn-outs, and an understanding of how to draft the deferred consideration provisions within the sale and purchase agreement.
- Strong personal impact and self-awareness
- Excellent written and oral communication and presentation skills
- Strong analytical skills including the ability to interpret data, generate insights and construct solutions
- Evidence of working successfully with client teams
- The ability to operate in high performing, multi-disciplinary teams
